These Terms and Conditions (“Terms”) govern your access to and use of the services provided by Sendar Communication Limited (“Sendar”, “we”, “us”, or “our”), including our platform, website, APIs, and related communication tools (collectively, the “Services”).
By accessing or using Sendar, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility and Account Registration
You must be at least 18 years old to use our Services. By registering an account, you represent that you:
Are legally able to enter into contracts
Are providing accurate and complete information
Will update your account if details change
You are responsible for maintaining the confidentiality of your account credentials and all activities that occur under your account.
2. Description of Services
Sendar provides a cloud-based communication platform that allows users to:
Send and manage bulk SMS campaigns
Request and manage Sender IDs
Monitor SMS delivery reports and analytics
Recharge wallets and manage billing
Access support through live chat or support tickets
We may introduce new features or modify existing ones at our discretion.
3. User Responsibilities
By using Sendar, you agree not to:
Use the platform for unsolicited messages or spam
Send harmful, fraudulent, or illegal content
Violate applicable laws (e.g., local telecom regulations, data protection laws)
Attempt to reverse-engineer, modify, or copy the platform’s source code
Misrepresent your identity or impersonate others
Interfere with the platform’s security or performance
You are solely responsible for the content you send via Sendar and any legal consequences arising from its distribution.
4. Sender ID and Message Approval
To protect message integrity and delivery success:
Sender IDs must be approved by Sendar in compliance with telecom regulations
Some Sender IDs may be subject to documentation (e.g., business registration, ID)
Sendar reserves the right to reject or suspend any Sender ID or message content deemed non-compliant or abusive
5. Payments and Wallets
Users may pay for SMS credits via supported payment methods (e.g., card, bank transfer)
Credits are stored in a wallet and are deducted per message sent based on applicable rates
Wallet balances are non-refundable, except where required by law
Pricing may vary by destination or route provider, and is subject to change with or without notice
For subscriptions (if applicable), recurring charges will apply unless cancelled before the billing cycle renews.
6. Intellectual Property
All content, branding, design, software, and functionality on Sendar remain the exclusive property of Sendar Communication Limited or its licensors. You may not copy, reproduce, or exploit any part of the Services without our prior written consent.
You retain ownership of your own message content but grant us a license to transmit, process, and store it in connection with your use of the platform.
7. Service Availability
We strive to provide 99.9% uptime, but service interruptions may occur due to:
Maintenance or upgrades
Telecom carrier disruptions
Force majeure events (e.g., internet outages, government restrictions)
We do not guarantee uninterrupted access and are not liable for losses resulting from downtime.
8. Limitation of Liability
To the fullest extent permitted by law, Sendar is not liable for:
Any indirect, incidental, or consequential damages
Loss of profits, revenue, data, or business opportunity
Delivery failures or delays beyond our control
Issues caused by user error or third-party providers
Total liability for any claim will not exceed the amount you paid to Sendar in the last 6 months.
9. Termination
You may stop using the Services at any time.
Sendar may suspend or terminate your access if:
You breach these Terms
We suspect abuse, fraud, or illegal activity
We receive a valid legal or regulatory request
Termination does not relieve you of any outstanding obligations, including payment dues.
10. Indemnification
You agree to indemnify and hold harmless Sendar, its employees, directors, and affiliates from any claims, damages, or legal costs resulting from your misuse of the Services, breach of these Terms, or violation of applicable laws.
11. Changes to the Terms
We may revise these Terms at any time. Updates will be posted on this page and, if material, communicated to you via email. Continued use of the Services after changes constitutes your acceptance of the new Terms.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes will be subject to the exclusive jurisdiction of the courts in Lagos, Nigeria.
