1. Introduction & Acceptance

These Terms & Conditions ("Terms") govern your access to and use of the Sendar messaging platform ("Platform"), operated by Sendar Technologies Ltd. ("Sendar", "we", "our", "us"), a company incorporated under the laws of the Federal Republic of Nigeria with its registered office at No 14, Ben Okagbue, Mba Street, Lekki Phase 1, Lagos.

By creating an account, accessing the Platform, or sending any message through Sendar, you ("User", "you", "your") acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

These Terms apply to all users of the Platform, including businesses, developers, and individuals who access the Sendar API or dashboard.

2. Definitions

  • "Platform" means the Sendar web application, API, dashboard, and all related tools and services operated by Sendar Technologies Ltd.
  • "User" means any individual or entity that creates an account or uses the Platform.
  • "Account" means the registered profile created by the User to access Sendar services.
  • "Services" means the SMS, WhatsApp, Email, and Voice messaging services provided through the Platform.
  • "Credits" means the prepaid units purchased by the User and stored in the Sendar wallet, used to pay for messaging services.
  • "Messages" means any SMS, WhatsApp message, email, or voice call initiated through the Platform by the User.
  • "NDPR" means the Nigeria Data Protection Regulation, 2019, and any successor legislation.
  • "NCC" means the Nigerian Communications Commission.

3. Account Registration

To use the Platform, you must register for an account. By registering, you represent and warrant that:

  • You are at least 18 years of age or the age of legal majority in your jurisdiction.
  • You have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.
  • All information provided during registration is accurate, current, and complete.
  • You will promptly update your account information if any changes occur.

You are solely responsible for maintaining the confidentiality of your login credentials. You agree to notify Sendar immediately at support@sendar.io if you suspect any unauthorised access to your account. Sendar will not be liable for any loss or damage arising from your failure to secure your credentials.

4. Services

Sendar provides an omnichannel messaging platform that enables Users to send and manage communications across the following channels:

  • SMS: Bulk promotional SMS, transactional SMS, and OTP (one-time password) delivery across all major Nigerian carriers including MTN, Airtel, Glo, and 9Mobile.
  • WhatsApp: Business messaging via the WhatsApp Business API, including template messages, session messages, and interactive messaging.
  • Email: Transactional and marketing email delivery with tracking, analytics, and template management.
  • Voice: Automated voice calls, IVR (Interactive Voice Response), and voice OTP delivery.

Sendar reserves the right to modify, suspend, or discontinue any feature or channel at any time, with reasonable notice to Users where practicable.

5. Pricing & Payments

Sendar operates on a pay-as-you-go model. Key pricing terms include:

  • Wallet Top-Ups: Users fund their Sendar wallet via bank transfer, card payment, or other supported methods. Credits are added to your wallet upon confirmed payment.
  • Per-Message Billing: Each message sent is deducted from your wallet balance at the applicable rate for the channel and message type.
  • Volume Discounts: Users who prepay larger amounts may qualify for automatic volume discounts as published on our Pricing page.
  • No Refunds on Used Credits: Credits that have been used to send messages are non-refundable. Unused credits may be refunded within 30 days of purchase.
  • Failed Messages: Credits for messages that fail to deliver are automatically returned to your wallet.
  • Currency: All prices are denominated in Nigerian Naira (NGN) unless otherwise stated.

Current pricing is available at sendar.io/pricing. Sendar reserves the right to update pricing with at least 14 days' notice.

6. Acceptable Use

You agree to use the Platform only for lawful purposes and in compliance with all applicable Nigerian laws and regulations, including NCC regulations and the NDPR. You must not use Sendar to:

  • Send unsolicited messages (spam) to recipients who have not provided express opt-in consent.
  • Engage in or facilitate fraud, phishing, scams, or any deceptive practices.
  • Send messages containing threats, harassment, hate speech, or obscene content.
  • Transmit malware, viruses, or any harmful code via messages.
  • Impersonate any person, business, or entity.
  • Violate any Do-Not-Disturb (DND) regulations enforced by Nigerian carriers or the NCC.
  • Use the Platform in any way that could damage, disable, or impair Sendar's infrastructure.
  • Resell or redistribute Sendar services without prior written authorisation.

Sendar reserves the right to monitor usage patterns and suspend or terminate any account that violates this policy, without prior notice where immediate action is necessary.

7. Message Content

You are solely responsible for the content of all messages sent through the Platform. Sendar does not pre-approve or endorse message content. However, Sendar reserves the right to:

  • Reject or block messages that violate these Terms, applicable law, or carrier policies.
  • Filter messages for spam, malware, or prohibited content.
  • Require sender ID verification before allowing messages to be sent.
  • Cooperate with law enforcement agencies if message content is suspected to be unlawful.

You must ensure that all message recipients have provided appropriate consent to receive your communications, in compliance with the NDPR and NCC regulations.

8. Intellectual Property

All intellectual property rights in the Platform, including but not limited to the software, design, logos, trademarks, documentation, and API, are owned by Sendar Technologies Ltd. or its licensors. Nothing in these Terms grants you any rights to Sendar's intellectual property except the limited right to use the Platform as intended.

You retain full ownership of all content you create and send through the Platform. By using Sendar, you grant us a limited, non-exclusive licence to process and transmit your content solely for the purpose of delivering your messages.

9. Data Protection

Sendar is committed to protecting your personal data in accordance with the Nigeria Data Protection Regulation (NDPR) and other applicable data protection laws. Key commitments include:

  • We collect only the data necessary to provide our services, including account details, message metadata, and payment information.
  • Your data is encrypted in transit (TLS 1.2+) and at rest.
  • We do not sell your personal data to third parties.
  • We share limited data with carriers (MTN, Airtel, Glo, 9Mobile), payment processors, and cloud infrastructure providers solely to deliver our services.
  • You have the right to access, rectify, delete, and port your personal data. Contact support@sendar.io to exercise these rights.
  • Message content is retained for 90 days by default. Enterprise customers may configure custom retention periods.

10. Service Level

Sendar strives to maintain high availability and reliability. However, messaging delivery is provided on a best-effort basis. We do not guarantee:

  • 100% message delivery, as delivery depends on carrier networks, recipient device status, and DND settings.
  • Specific delivery times, although we target sub-3-second delivery for OTP and transactional messages.
  • Uninterrupted platform availability, although we target 99.9% uptime.

You are billed for all messages dispatched to the carrier network, regardless of final delivery status. Sendar pre-filters promotional messages against the NCC DND registry before dispatch to help minimise wasted sends. Enterprise customers may negotiate specific Service Level Agreements (SLAs) with dedicated support and uptime guarantees.

11. Limitation of Liability

To the maximum extent permitted by the laws of the Federal Republic of Nigeria:

  • Sendar shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, data, or business opportunities.
  • Sendar's total aggregate liability under these Terms shall not exceed the total amount you paid for Sendar services in the three (3) months immediately preceding the event giving rise to the claim.
  • Sendar shall not be liable for any delays or failures in message delivery caused by carrier networks, third-party services, or force majeure events.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any liability that cannot be lawfully excluded under Nigerian law.

12. Termination

Either party may terminate this agreement at any time:

  • By you: You may close your account at any time via your dashboard (Settings > Account > Close Account) or by emailing support@sendar.io.
  • By Sendar: We may suspend or terminate your account for breach of these Terms with written notice, except where immediate action is required to protect the Platform or other users.

Upon termination:

  • Remaining wallet credits are non-refundable after 12 months from the date of purchase.
  • Unused credits within 30 days of purchase may be eligible for refund upon request.
  • Your data will be deleted within 90 days of account closure, except where retention is required by Nigerian law (e.g., tax records retained for 7 years).
  • Any outstanding payment obligations survive termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

Before commencing formal legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of not less than 30 days.
